Mechio Pty Ltd Terms of Sale
1. Definitions;
1.1. “Mechio Pty Ltd” is an Australian Private Company registered for GST.

1.2. “Mechio Pty Ltd” is the “Supplier” of goods and services as per Quotation/Invoice unless otherwise specified.
1.3. The “Customer” is the recipient of goods and services provided by Mechio Pty Ltd, as addressed per the Quotation/Invoice.
2. General Sale Terms;
2.1. All quoted prices are subject to 10% GST.
2.2. All quoted prices are subject to a delivery and handling charge.
2.3. All Sales are final. Mechio Pty Ltd grants no right of return.
2.4. Due to continuing improvements, prices and specifications are subject to change without notice.
2.5. Until full payment of goods has been received; Mechio Pty Ltd reserves and the “Customer” grants to us, a security interest in all goods sold, and all proceeds derived from goods sold, to secure the full payment. Full payment may include appropriate interest and recovery costs.
3. Exchange Rate;
3.1. Quote valid for quotation period unless AUD to EUR exchange rate moves more than 2% from the bank sell exchange rate for Mechio Pty Ltd.
3.2. Final invoice value may be subject to change due to exchange rate. If the AUD to EUR exchange rate moves more than 2% from the bank sell exchange rate on the date of deposit paid, to the date the final invoice is delivered; the additional amount will be applied as adjustment to the final invoice.
3.2.1. Balance can be paid in full by “Customer” on order confirmation to avoid exchange rate adjustment to the final invoice.
4. Payment Terms;
4.1. New Machinery Sale Terms;
40% deposit required on acceptance of PO. Goods availability is not secured or finalised until after deposit is received. Goods will be secured against firm written order (Purchase Order) when deposit is paid and payment received by Mechio Pty Ltd.
60% remainder required on delivery to Australian Port. Payment must be finalised before installation and commissioning by an authorised Mechio Pty Ltd service representative.
New machinery sale payment terms are final unless alternative arrangements are confirmed by Mechio Pty Ltd in advance of initial deposit invoice payment by the “Customer”, provided in writing by Mechio Pty Ltd to the “Customer”.
4.2. Payment Method;
4.2.1. Direct Bank Deposit (EFT); Payment must be made via Direct Bank Deposit into the Australian bank account specified by Mechio Pty Ltd on invoice.
4.2.2. Financing; Written confirmation of financial approval including settlement date is required prior to delivery. Settlement date must be 3 days before delivery of goods. If the total amount is to be financed then the deposit paid will be refunded on settlement clearance.
4.2.3. Cheque; Cheques are not accepted by Mechio Pty Ltd.
4.3. Securities Interest;
4.3.1. Equipment will be listed on the Australian Government Personal Property Securities Register (PPSR) while Mechio Pty Ltd has a securities interest in the Equipment.
4.3.2. PPSR Registration will be discharged by Mechio Pty Ltd within 5 business days of receipt of final invoice payment, or completed finance settlement.
5. Shipping and Handling Terms;
5.1. Mechio Pty Ltd delivers the goods import cleared to the Australian premises “delivery address” specified by “Customer” as per Quotation/Invoice.
5.2. Mechio Pty Ltd does not bear risk or costs associated with change of “delivery address” after acceptance/confirmation of “Customer” Purchase Order. All variation costs will be passed on to the “Customer” in the event of “delivery address” changes.
5.3. “Customer” is responsible for unloading of goods from the delivery container/truck, and positioning goods in the final installation location.
5.4. Suitable lifting equipment is required by the “Customer” at the delivery address to unload goods from the delivery container/truck.
5.5. Mechio Pty Ltd does not bear risks of costs associated with damage during unloading of goods at “Customer” delivery address and positioning of machine during unloading, unpacking, commissioning, and installation.
5.6. Mechio Pty Ltd accepts no liability for the delivery delays of goods ordered due to delays reasonably deemed to be the fault of Mechio Pty Ltd. Including but not limited to; delays caused by third party transport companies, delays caused by manufacturers and suppliers, production delays caused by manufacturers and suppliers, delays due to customs clearance and port clearance, delays due to Industrial Action (trade unions), delays due to Pandemic or Epidemic related causes.
5.7. Container Detention and Demurrage;
5.7.1. All goods that arrive in a container are to be removed from the port within 5 days of the customs release date. If the “Customer” is not able to receive the container, each day delayed will incur a daily detention/demurrage charge calculated on the size and quantity of container/s that will be passed on to the Customer.
6. General Equipment Sale Conditions;
6.1. Electrical;
6.1.1. Electrical connections, including but not limited to; plugs, sockets, circuit protection, surge protection, and cables are not supplied with goods sold.
6.1.2. Mechio Pty Ltd is not responsible for power supply to the machine. Power supply must be adequate and stable, with appropriate inlet circuit protection including overcurrent protection, surge protection and RCD protection.
6.2. Pneumatic;
6.2.1. Pneumatic connections, including but not limited to; hoses, tubes, fittings, reservoirs, connections are not supplied with goods sold unless otherwise specified.
6.2.2. Mechio Pty Ltd is not responsible for Pneumatic air supply to the machine. Air supply must be stable with adequate pressure and flow. Air supply must be dried and completely free of moisture.
6.3. Vacuum;
6.3.1. Vacuum connections, including but not limited to; hoses, tubes, fittings, reservoirs, connections are not supplied with goods sold unless otherwise specified.
6.3.2. Mechio Pty Ltd is not responsible for Vacuum withdrawal from the machine unless otherwise specified. Vacuum withdrawal must be stable with adequate vacuum pressure and flow. Vacuum inlet must have filtration, and separation capability of volatile organic vapours.
6.4. Human Resource;
6.4.1. Installation, Commissioning and Service;
6.4.1.1. Hourly call-out rates, travel costs, and accommodation costs may apply when the “Customer” site is not prepared at the agreed time for installation, commissioning or service and/or a return visit is required.
6.4.2. General Site Safety, Accessibility and Danger
6.4.2.1. Mechio Pty Ltd does not permit employees and/or contractors to work in conditions that are unsafe, inaccessible or dangerous. Hourly call-out rates, travel costs, and accommodation costs may apply if the “Customer” site is considered unsafe, inaccessible or dangerous by Mechio Pty Ltd employees or contractors. The “Customer” will also void their opportunity for service or commissioning, and will be rescheduled to a time convenient to Mechio Pty Ltd employees and/or contractors after site safety, accessibility and danger concerns are remedied by the customer.
7. Warranty Information;
The warranty outlined is the sole and exclusive warranty obligation of Mechio Pty Ltd, and the remedy provided above is in lieu of any, and all other remedies. There are no other agreements, guarantees or warranties, oral, written, expressed, implied, or statutory, including, without limitation to, warranty of merchantability or fitness for a particular purpose. Mechio Pty Ltd shall not be liable for any incidental or consequential damages due to any cause whatsoever. The “Customer” agrees that Mechio Pty Ltd is so limited.
The obligations of Mechio Pty Ltd under this warranty are limited, in its exclusive option,
to repair or replace parts and materials which proved to be defective.
7.1. All Warranties are Null and Void;
7.1.1. Where the equipment is unpacked, installed, serviced, and/or repaired by person(s) other than an authorised Mechio Pty Ltd service representative;
7.1.2. Where service is required due to “Customer” failure to operate or maintain the equipment in a manner consistent with the specifications and guidelines outlined in the product’s operator/owners manual; and/or
7.1.3. Where service is required due to neglect, physical damage, attempted or actual dismantling, alteration, and/or modification of the equipment by person(s) other than an authorised Mechio Pty Ltd service representative.
7.1.4. Where equipment damage is caused by inadequate Electrical, Pneumatic, or Vacuum supply as outlined in Section 6; General equipment sale conditions.
7.2. New DATRON Systems;
7.2.1. The warranty period is 12 months on all machine components, effective from the date of machine delivery to the customer.
7.2.1.1. An extension of the warranty to 24 months can be offered separately.
7.2.2. Always observe the operating instructions of the respective manufacturer. Wear parts, such as the spindle, especially with longer machine running times, such as 2/3-shift operation, may be subject to premature wear, which does not represent a material defect.
7.2.3. The delivery of DATRON spare parts is effected ex works Darmstadt,
Germany. Spare parts must be installed by an authorised Mechio Pty Ltd service representative, unless otherwise advised in writing by Mechio Pty Ltd.
7.2.4. Upon expiry of the warranty period a maintenance contract for the system may be available.
7.2.5. Warranty covers spare parts. Costs for travel, working time and accommodation may arise.
7.3. Refurbished and/or Demo systems;
7.3.1. Any refurbished or demo systems have half the original manufacturer’s warranty unless otherwise specified by Mechio Pty Ltd.
7.4. Consumables;
7.4.1. Consumables are wear items, and do NOT have any warranty. Consumables and wear items include but are not limited to; tooling, toolholders, tooling accessories, coolant, lubricants, vacuum accessories, pneumatic components, pneumatic accessories, workholding components, workholding accessories, Automatic Tool Changer (ATC) accessories, rails, guides, bearings,
8. Returns;
8.1. No product or order may be returned or cancelled after receipt/acceptance of “Customer” Purchase Order, subject to “Special Condition”.
8.1.1. “Special Condition” requires approval by the acting General Manager or Director of Mechio Pty Ltd. To apply for “special condition”, a written notice will need to be supplied to the acting General Manager or Director of Mechio Pty Ltd.
8.1.2. If approved, Mechio Pty Ltd will issue a return or cancellation authorisation through “Special Condition”, which is required upon all approved returns, and such good will incur a fourty percentage (40%) charge of the total price quoted.
8.2. Return Goods Authorisation Service;
8.2.1. Merchandise, damaged or otherwise, will not be accepted by return shipments without prior approval from Mechio Technical Service Department. Authorisation for return is at the sole discretion of Mechio Pty Ltd. All returned merchandise must be accompanied by a RETURN MATERIALS AUTHORISATION (RMA) number by Mechio Pty Ltd. All costs associated with the return of any merchandise for investigation or repair is incurred by the “Customer”.
